TERMS AND CONDITIONS

Read the Terms of Use carefully before using this internet service. The services provided by NannyPayrollSolutions.ca operated by Micro Payroll Solutions Inc. are subject to the Terms of Use as described below.

INTRODUCTION

Micro Payroll Solutions Inc. (“MPS”) provides its Internet services, as they may exist from time to time, to registered users (“Members”) who pay a service fee for payroll calculation services (the “Services”). Members must subscribe to the Services by establishing an account and agreeing to the terms and conditions as outlined in this Agreement. By establishing an account, Members agree to be bound by this Agreement and to use the Services in compliance with the Agreement.

This Agreement and MPS’s other user policies posted on MPS’S website constitute the entire agreement between you and MPS with respect to your use of the Services.
If you do not agree to all the terms and conditions contained in the Terms of Use, do not access or use this site. If you are a current Member, you must terminate your use of the Services under Section as described below.
MPS may from time to time change the Terms of Use and other guidelines and rules posted on the Site. The continued access or use of the Site, or any Materials or Services, constitutes your acceptance of the changes. The breach of any of the Terms of Use will result in automatic termination or your authorization to access or use this Site or Services.

THE SITE:

“Services” means all services and resources offered by Micro Payroll Solutions Inc. and include download areas, developer tool services, product and other information services and communication services such as bulletin boards, calendars, email, forums, newsgroups, and other message or communication or business facilities designed to enable you to do business or communication with others. The services provided are limited to payroll withholding calculations. The payment of payroll amounts and remittances to tax authorities remains the sole responsibility of the Members.
“Materials” means all publications, content, tools, resources, software, code, programs and products, communications, downloads, files, text, images, photographs, graphics, information, data, documents, and videos made available or enabled via the Site by Micro Payroll Solutions Inc. or users of this Site.

SUBSCRIPTION REQUIREMENTS

NannyPayrollSolutions.ca fees for services are charged on a monthly or annual basis. Current prices for Services are posted at NannyPayrollSolutions.ca. MPS reserves the right to change prices and institute new fees at any time upon 30 days prior notice. All prices are in Canadian dollars.

MEMBER ACCOUNTS

Upon registration, Members receive a user name, password and account designation. You must keep your password confidential so that no one else may access the Services through your account. You must notify MPS immediately upon discovery of any unauthorized use of your account.
MPS reserves the right to direct Members to use certain numbers to access the Service or to restrict use of specific access numbers. Usernames, passwords and account designations are MPS's property and MPS may alter or replace them at any time.

MEMBER OBLIGATIONS

(a) Members must
(i) provide MPS with accurate and complete billing information including legal name, address, telephone number, and credit card/billing information; and
(ii) report to MPS all changes to this information within thirty (30) days of the change. Members are responsible for any charges to their account.
(b) Members having questions regarding charges to an account should contact MPS at: info@nannypayrollsolutions.ca. All charges are considered valid unless disputed in writing within sixty (60) days of the billing date. Adjustments will not be made for charges that exceed 60 days.
(c) Charges are billed to Members' credit cards, as applicable, as they occur. MPS is not responsible for any charges or expenses (e.g. for overdrawn accounts, exceeding credit card limits, etc.) resulting from charges billed by MPS.
(d) MPS accepts payment only by credit card authorization. MPS does not accept any other form of payment (e.g. cheque, prepayment plan, automatic billing, third party payment plan, etc.).
(e) Delinquent accounts may be suspended or cancelled at MPS's sole discretion. MPS may bill an additional charge to reinstate a suspended account. If a Member fails to pay MPS any amounts due, whether deliberate or accidental, the Member's account will be subject to suspension or cancellation until the Member has paid all amounts due.
(f) Refunds are available for months not yet past to those members who have paid for a full year subscription. All request for refunds must be by written notification.

WARRANTIES AND DISCLAIMER

EXCEPT FOR CERTAIN PRODUCTS AND SERVICES SPECIFICALLY IDENTIFIED AS BEING OFFERED BY MPS, MPS DOES NOT CONTROL ANY MATERIALS, INFORMATION, PRODUCTS, OR SERVICES ON THE INTERNET.
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. ALTHOUGH MPS TAKES NECESSARY PRECAUTIONS TO ENSURE ONGOING, RELIABLE SERVICES, MPS DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE OR FREE OF VIRUSES, OR OTHER HARMFUL COMPONENTS.
MPS MAKES NO EXPRESS WARRANTIES AND WAIVES ALL IMPLIED WARRANTIES. NO ADVICE OR INFORMATION GIVEN BY MPS OR ITS REPRESENTATIVES SHALL CONSTITUTE A WARRANTY. MPS AND ITS EMPLOYEES ARE NOT LIABLE FOR ANY COSTS OR DAMAGES ARISING DIRECTLY OR INDIRECTLY FROM USE OF THE SERVICES OR THE INTERNET INCLUDING ANY INDIRECT, INCIDENTAL, EXEMPLARY, MULTIPLE, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES. IN ANY EVENT, MPS'S CUMULATIVE LIABILITY TO ANY MEMBER FOR ANY AND ALL CLAIMS RELATING TO THE USE OF THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT OF SERVICE FEES PAID DURING A ONE CALENDAR YEAR PERIOD.
MPS’S PERFORMANCE SHALL BE BASED ON THE ACCURACY OF THE INFORMATION GIVEN TO IT BY ITS MEMBERS. MPS SHALL NOT BE LIABLE IN ANY WAY FOR IMPROPER CALCULATION OF WAGES OR PAYROLL DEDUCTIONS DUE TO INCORRECT INFORMATION PROVIDED BY THE MEMBER.
THE USE OF THE SITE, SERVICES OR THE DOWNLOADING OR OTHER USE OF ANY MATERIALS IS DONE AT YOUR OWN DISCRETION AND RISK AND WITH YOUR AGREEMENT THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM, LOSS OF DATA OR OTHER HARM THAT RESULTS FROM SUCH ACTIVITIES. MPS ASSUMES NO LIABILITY FOR ANY COMPUTER VIRUS OR OTHER SIMILAR SOFTWARE CODE THAT IS DOWNLOADED TO YOUR COMPUTER FROM THE SITE OR IN CONNECTION WITH ANY SERVICES OR MATERIALS. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM MPS OR VIA THE SITE, SERVICES OR MATERIALS SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THE TERMS OF USE. MPS WILL NOT BE LIABLE FOR ANY LOSS THAT YOU MAY INCUR AS A RESULT OF SOMEONE ELSE USING YOUR PASSWORD OR ACCOUNT WITH RESPECT TO THE SITE OR ANY SERVICES OR MATERIALS, EITHER WITH OR WITHOUT YOUR KNOWLEDGE.

LICENSE

Each Member is granted a non-transferable and non-assignable license to access and use the MPS software. Each Member agrees to use the software solely in conjunction with the Services and for no other purpose. MPS may modify the software at any time, for any reason, and without providing notice of such modification to a Member.
All materials, written documents and software used by MPS are the sole and exclusive property of MPS. Each Member agrees not to disseminate, disclose, reproduce, copy or transfer those materials to any third party nor will it use the same other than as authorized by this Agreement.

LINKS TO THIRD PARTY SITES

The Site, Services or Materials may include links that will take you to other sites outside of NannyPayrollSolutions.ca. These sites are provided by MPS as information only and the inclusion of the links does not imply any endorsement by MPS of any linked site and MPS has no control of the linked sites. You acknowledge that MPS has no responsibility for the contents of any linked site or any changes or updates to a linked site.

RESTRICTION AND TERMINATION OF USE

You may terminate your membership at any time and for any reason by providing notice of intent to terminate to MPS by:

Your termination will be complete upon your receipt and confirmation of a Termination email from MPS. Unless otherwise stated in this Agreement, data stored on MPS’s servers will be retained for three years.
MPS may block, restrict, disable, suspend or terminate your access to all or part of the Site, Services and Materials at any time at MPS’s sole discretion, without prior notice or liability to you.

TERM OF AGREEMENT

MPS may revise, amend or modify this Agreement and any other user policies and agreements, at any time and in any manner. Notice of any revision, amendment or modification will be posted on MPS’s web site and/or by email and/or in our various publications and mailings to Members.

MONITORING

MPS has no obligation to monitor the Services, but may do so and disclose information regarding use of the Services for any reason if MPS, in its sole discretion, believes that it is reasonable to do so, including to: satisfy laws, regulations, or governmental or legal requests, operate the Services properly, or protect itself and its Members. MPS may remove your material or information from MPS’s servers, which MPS, in its sole and absolute discretion, determines to violate this Agreement.

PERSONAL INFORMATION AND PRIVACY

MPS will use and protect any personal information and data, such as your name and address, in accordance with the MPS’S Privacy Policy, the contents of which are incorporated by reference into the Terms of Use.
